Ok. I have seen a few notes concerning the silent installation of Microsoft ActiveSync including the whitepaper from Microsoft. I found an easier way to have a silent install on the workstations. I have tested this for version 3.7.1 with no issues.
Follow the steps below. I've also included a sample 'silent.ini' file along with the install switches.
1: Download the MSASYNC.exe from here
2: Double-click the .exe file & wait until you see the initial setup screen. This allows the files to be extracted to the 'c:Documents and Settings<current logged on user>Local SettingsTempIXP000.TMP (NOTE - The directory name may be different but you can sort by 'Date Modified' to see which one was just created)
3: Copy that folder to a location where you plan on preforming the installation from.
4:Cancel the setup from the MSASYNC.exe.
5: Create a 'silent.ini' file (sample listed below) & put it in the same directory at the setup files.
6:Run the following comman line for setup. setup.exe /s 'silent.ini'

Version of ActiveSync is 3.7.1 Run msasync /c in an empty dir. Unfortunately it unpacks the files flat. For the setup to run, it needs som subdirs. One workaround is to right-click on setup.inf and select Install. The subdirs will be created. Point of installation is then ready. Of course you have to use setup.exe. I've made a successful capture, and the package works. There's just one small problem;) Everytime I press the A.S shortcut on the start menu - ActiveSync launches as it should, BUT the C: Program Files Microsoft ActiveSync Folder also opens in a new window!?? If I make a new shortcut the same thing happens. ActivceSync 3.7 contains fixes making synchronization more trouble free than ever before and includes all the significant improvements brought to you in ActiveSync 3.5 and 3.6: it is easy to. Active Sync 3.7.1 installed with no problems. And showed up in the 'windows applications' window. It runs but will not detect device. I am running PPC 2002, IPAQ 3955, I have tried USB and Serial connections. ActiveSync 3.7.1 contains fixes making synchronization more trouble free than ever before and includes all the significant improvements brought to you in ActiveSync 3.5, 3.6, and 3.7. To download you must be logged-in and be a subscriber or have met certain requirements as a free user. This primarily was focused towards Microsoft Windows CE 3 and - in version 3.7 and above - CE 4. However the desktop software that they produced was also made compatible with Windows CE 2.0, 2.01, 2.1, 2.11 and 2.12. In July 1999, with the original PC ActiveSync release, ActiveSync 3.0.9204.

ActiveSync is a mobile data synchronizationapp developed by Microsoft, originally released in 1996. It synchronizes data with handheld devices and desktop computers. In the Windows Task Manager, the associated process is called wcescomm.exe.

ActiveSync allows a mobile device to be synchronized with either a desktop PC or a server running a compatible software product including Microsoft Exchange Server, Axigen, Horde, IceWarp Server, Kerio Connect, Kolab, Novell GroupWise, Tine 2.0, Scalix, Zarafa/Kopano via Z-push, or Zimbra.
On desktops, ActiveSync synchronizes emails, calendar, contacts and tasks with Microsoft Outlook, along with Internet bookmarks and files. ActiveSync does not support all features of Outlook. For instance, contacts grouped into subfolders are not transferred. Only the contacts which are not in a subfolder are synchronized. In case of Exchange Server, only emails, calendar, contacts and tasks may be synchronized.
ActiveSync also provides for the manual transfer of files to a mobile device, along with limited backup functionality, and the ability to install and uninstall mobile device applications.
Supported mobile devices include PDAs or smartphones running Windows Mobile, Windows CE,[1] or BlackBerry 10 or iPhone but not the older BlackBerry versions, Palm OS and Symbian platforms. Windows Phone 7 doesn't support desktop ActiveSync synchronization.[2]
Starting with Windows Vista, ActiveSync has been replaced with the Windows Mobile Device Center, which is included as part of the operating system.[3]
